Constitution of the Vermont Council of Teachers of Mathe-matics (VCTM) ARTCLE I - NAME The name of this organization shall be the Vermont Council of Teachers of Mathematics (VCTM). ARTCLE II – PURPOSE It shall be the purpose of this organization: 1) To encourage an active interest in mathematics and mathematics education; 2) To provide a means for discussion and interchange of ideas pertaining to mathematics and the teaching of mathematics; 3) To encourage cooperative study of problems of mathematics education at all levels, elementary through college; 4) To provide a means for better coordination of mathematical activities at the local, state, regional, and national levels. ARTCLE III - MEMBERSHIP Any teacher of mathematics at any level or anyone interested in the purpose of the organization is eligible for membership. ARTCLE IV - OFFICERS The officers of the Council shall be president, past president (alternate years), president-elect (alternative years), secretary and treasurer. ARTCLE V – MEETINGS There shall be an Annual Meeting of the organization each year to be held in the fall. ARTCLE VI – DISSOLUTION If at any time the organization shall cease to carry out the purpose herein stated, all assets and property held by it, whether in trust or otherwise, shall after payment of its liabilities, be paid over to an organization, selected by the final set of officers of the Council, which has similar purposes and has established its tax- exempt status under Section 501 (c)(3) of the Internal Revenue Code of 1954 as now enacted or as it may hereafter be amended, and such assets and property shall be applied exclusively for such charitable, scientific, and educational programs. ARTCLE VII – AMENDMENTS The procedure for amendment to this constitution shall be: 1) The introduction and discussion of the proposed amendment at a meeting of the membership of the Council; 2) Upon approval of the majority of the members voting, the proposed amendment shall be distributed in writing to all members of the council at least two weeks before the Annual Meeting; 3) The amendment shall become effective immediately upon approval of the two-thirds majority of those members present at the Annual Meeting.
